  • UI/UX Design: Creating intuitive, user-friendly interfaces.
  • Hybrid Mobile Apps: Development of cross-platform mobile applications.
  • IT Staff Augmentation: Providing skilled professionals to supplement your existing team.

Each service will be delivered as per the project’s scope, timeline, and requirements outlined in our agreement.

  1. Client Responsibilities
    To ensure the success of our collaboration, the client agrees to:
  • Provide accurate and complete project requirements.
  • Respond promptly to requests for information or approvals.
  • Ensure access to any systems, tools, or environments needed to perform the services.
  • Maintain clear communication throughout the project lifecycle.
  1. Payment Terms
  • Invoices and Payment: All payments are due upon receipt unless otherwise specified in the contract.
  • Late Payments: A late fee of 2% may apply for overdue invoices.
  • Milestone Payments: For larger projects, payments may be broken down into milestones as outlined in your contract.
  • Refund Policy: Refunds, if applicable, will be subject to the terms of the specific agreement and the stage of project completion.
  1. Project Timelines and Delivery
    We commit to delivering services within the agreed timelines. However, timelines are subject to:
  • Timely client responses and approvals.
  • Unforeseen technical or resource challenges.
  • Delays due to client-side issues will not be the responsibility of Emerson Technology.
  1. Revisions and Change Requests
  • Revisions: Revisions are included as outlined in your contract. Additional revisions beyond this scope may incur extra charges.
  • Change Requests: Any requests for changes to the project’s scope, functionality, or timeline must be communicated in writing and may result in additional costs or time extensions.
  1. Intellectual Property
  • Ownership: Upon full payment, the client will own the deliverables created specifically for their project.
  • Licenses: Emerson Technology retains the right to use non-proprietary components, frameworks, or tools developed during the project in future works.
  • Third-Party Tools: Any third-party software or tools integrated into your solution will be subject to their respective licensing agreements.
  1. Confidentiality
    Both parties agree to keep all sensitive information, such as business strategies, technical data, and client information, confidential.
  • Client Data: Your data will not be shared or used for purposes beyond the agreed project.
  • Non-Disclosure: A mutual non-disclosure agreement (NDA) may be signed to formalize confidentiality commitments.
  1. Limitation of Liability
    Emerson Technology will not be liable for:
  • Indirect or consequential damages, including loss of profit or data.
  • Delays or failures due to circumstances beyond our control (e.g., natural disasters, third-party outages).
  • Any client-side misconfigurations, misuse, or failure to follow provided guidelines.
    Our liability is limited to the amount paid for the services in question.
  1. Warranties and Disclaimers
    We provide services “as is” and make no guarantees regarding:
  • Specific outcomes or business results.
  • Compatibility with third-party systems unless explicitly stated.
    We commit to delivering services with professional care and in accordance with industry standards.
  1. Termination of Agreement
    Either party may terminate the agreement under the following conditions:
  • By Client: Termination requests must be submitted in writing, with any outstanding payments settled.
  • By Company: We may terminate services if the client violates these terms or fails to meet payment obligations.
    Upon termination, access to deliverables or services may be revoked.
  1. Governing Law and Dispute Resolution
    These Terms and Conditions are governed by the applicable laws of the United Kingdom. We ensure compliance with international regulations, such as GDPR, CCPA, or other relevant data protection laws depending on your location.
  • Dispute Resolution: Any disputes will first be attempted to resolve through good faith negotiations. If unresolved, disputes may be escalated to binding arbitration or legal proceedings in a mutually agreed jurisdiction.
